Software License Agreement

End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Catedral ("Licensor") for the use of Catedral software ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

1. Grant of License

Subject to the terms of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable license to:

  • Install and use the Software on servers you own or control
  • Make copies of the Software for backup purposes
  • Use the Software in accordance with your license tier (Free, Pro, or Enterprise)

2. License Tiers

Free License

  • Deploy up to 3 applications per server
  • No payment required
  • Community support only
  • Same core features as paid tiers

Pro License - $19/month

  • Unlimited applications per server
  • Priority email support
  • Early access to new features
  • License tied to one machine (hardware fingerprint)

Enterprise License - Custom Pricing

  • Everything in Pro
  • Multi-machine license (up to 10 machines)
  • Formal invoicing for accounting
  • Dedicated support channel
  • Custom SLA available

3. Restrictions

You may NOT:

  • Redistribute, sell, lease, or sublicense the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software to build a competing product
  • Share, transfer, or expose your license key to others
  • Use a single license on multiple machines (unless Enterprise tier)
  • Circumvent or attempt to circumvent license verification
  • Use the Software for illegal purposes

4. Intellectual Property

The Software is protected by copyright and other intellectual property laws. Licensor retains all rights, title, and interest in the Software. This Agreement grants you no rights to trademarks, service marks, or trade names of the Licensor.

5. Third-Party Components

The Software incorporates open-source components licensed under MIT, Apache 2.0, BSD, and other open-source licenses. A complete list of third-party components and their licenses is available in the NOTICE file distributed with the Software.

Applications deployed through Catedral (such as Komodo, Uptrace, n8n, etc.) are governed by their respective licenses. Users are responsible for compliance with those licenses.

6. License Verification

The Software may periodically connect to Licensor's servers to verify license validity. This verification:

  • Occurs approximately every 7 days when online
  • Transmits only license key, machine identifier, and app count
  • Has a 14-day offline grace period
  • Does not transmit any application data or personal information

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE PRECEDING TWELVE (12) MONTHS.

9. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement.

For subscription-based licenses, termination of payment will result in reversion to Free tier after a 14-day grace period.

Upon termination, you must cease all use of the Software and destroy all copies.

10. Updates and Modifications

Licensor may provide updates, patches, or new versions of the Software. Such updates are subject to this Agreement unless accompanied by a separate license agreement.

11. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations.

12. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Licensor operates, without regard to conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
